Notice of Cisco Terms for Cloud-Hosted Software
(Connection – Mandatory Pass-Through Notice)
This notice (this “Notice”) applies to Customer’s order, activation, access, or use of Cisco cloud-hosted software subscriptions and related services (the “Products”) obtained through PC Connection, Inc., including its subsidiaries PC Connection Sales Corporation, MoreDirect, Inc., and GovConnection, Inc. (collectively, “Connection”), acting as a Cisco authorized reseller.
Governing Agreement and Cisco Terms
The Products are licensed, not sold, and are provided by Cisco Systems, Inc. or its affiliates (“Cisco”). Customer’s use of the Products is governed solely by Cisco’s applicable end-user terms and conditions, including without limitation the Cisco General Terms, applicable Offer Descriptions, and any supplemental terms, policies, or service-specific terms referenced therein (collectively, the “Cisco Terms”), available at: Offer Descriptions and Supplemental Terms - Cisco (or a successor website).
Acceptance
BY ISSUING A PURCHASE ORDER TO CONNECTION, PLACING AN ORDER, REQUESTING PROVISIONING, ACTIVATING, ACCESSING, USING, OR OTHERWISE RECEIVING THE BENEFIT OF THE PRODUCTS, CUSTOMER ACKNOWLEDGES THAT IT HAS READ AND AGREES TO BE BOUND BY THE CISCO TERMS. Customer further acknowledges that no signature is required for the Cisco Terms or this Notice to be legally binding where intent to be bound is evidenced by Customer’s conduct, to the maximum extent permitted by applicable law.
Connection’s Role
Customer acknowledges that Connection acts solely as a reseller or facilitator of the Products and does not grant any rights in the Products. All license and usage rights are granted directly by Cisco under the Cisco Terms, and Cisco retains all right, title, and interest in and to the Products.
Order of Precedence; Conflicting Terms
Any terms or conditions contained in any purchase order, request for proposal, request for quotation, bid document, or other document provided by Customer that are additional to, different from, or inconsistent with the Cisco Terms or this Notice are rejected and shall be void and of no effect, notwithstanding any statement to the contrary therein. The Cisco Terms shall govern and prevail over any such conflicting or additional terms, and Connection’s performance shall not be deemed acceptance of any Customer terms.
Condition of Use
IF CUSTOMER DOES NOT AGREE TO THE CISCO TERMS, CUSTOMER MUST NOT ORDER, ACTIVATE, ACCESS, OR USE THE PRODUCTS.
