Notice of Certain Terms for ServiceNow
(Connection – Mandatory Pass-Through Notice)
AGREEMENT WITH SERVICENOW
Customer understands and agrees that it is purchasing access to ServiceNow cloud services on a subscription basis and that Customer’s use of the ServiceNow services is governed exclusively by ServiceNow’s applicable agreements, including the applicable ServiceNow Use Authorization, ServiceNow’s standard terms and conditions, applicable legal schedules, and ServiceNow service documentation, together with the applicable quote, order form, and order confirmation issued by Connection (collectively, the “ServiceNow Agreement”).

ServiceNow, not Connection, is the provider of the ServiceNow services. In the event of any conflict or inconsistency between this Notice and the ServiceNow Agreement, the ServiceNow Agreement shall control.
SUBSCRIPTION TERM; BILLING; AUTO-RENEWAL
Unless otherwise expressly agreed in writing:
- ServiceNow subscriptions are offered for initial terms of one (1) year or three (3) years, as specified in the applicable order, and are billed annually in advance.
- At the end of the applicable subscription term, the subscription will automatically renew for a renewal term equal to the initial term (one-year or three-year, as applicable), unless Customer provides Connection with written notice of non-renewal at least ninety-five (95) days prior to the end of the then-current term.
- If timely written notice is not received, the subscription will renew automatically and Customer will be responsible for payment of the applicable renewal fees.
CANCELLATION; NON-REFUNDABLE FEES
ServiceNow subscriptions are non-cancellable and non-refundable once the subscription term has commenced, except as expressly permitted under the ServiceNow Agreement. Customer remains responsible for all fees for the full subscription term, regardless of actual usage or early termination of use.
SUBSCRIPTION CHANGES
Customer may request changes to the products and/or quantities ordered during a subscription term; however, reductions in products or quantities are generally not permitted during a current term and may only be made effective at renewal, subject to ServiceNow’s approval and the ServiceNow Agreement. Increases may be permitted during a term in accordance with ServiceNow’s then-current policies. Customer should contact its Connection account manager regarding any requested changes.
NOTICES TO CONNECTION
Any notice of cancellation or non-renewal of a ServiceNow subscription must be in writing, signed by an authorized representative of Customer, and delivered by email to both your designated Connection account manager and legal@connection.com within the timeframes stated above.
ACCEPTANCE; ORDER OF PRECEDENCE
BY SUBMITTING A PURCHASE ORDER, RENEWING A SUBSCRIPTION, OR BY ACTIVATING, ACCESSING, OR USING ANY SERVICENOW SERVICES PROVIDED THROUGH CONNECTION, CUSTOMER ACKNOWLEDGES THAT IT HAS READ, UNDERSTANDS, AND AGREES TO BE LEGALLY BOUND BY THIS NOTICE AND THE SERVICENOW AGREEMENT. No signature is required for these terms to be binding where intent to be bound is evidenced by conduct.
Any terms or conditions included in a Customer purchase order or other Customer documentation that conflict with or add to the ServiceNow Agreement or this Notice are rejected and shall be of no force or effect.
